Effective date: October 7, 2026

These Sponsored Shop Terms ("Terms") are an agreement between Exhaust Addicts ("Exhaust Addicts," "we," "us") and the muffler, exhaust or automotive shop that signs up for a sponsored listing ("Shop," "you"). By submitting an application, paying the sponsorship fee or appearing in our directory, you agree to these Terms.

1. What You Get

If your Shop is approved and your sponsorship is active, we will display your Shop in the Exhaust Addicts certified shop directory at exhaustaddicts.com, where visitors can search for shops by location. Your listing may include your business name, address, phone number, website, hours, services, description and photos. We also promote the directory through our social media posts, videos and other marketing channels. We decide how, when and where that promotion happens.

2. Review and Certification

"Certified" means that Exhaust Addicts has reviewed your Shop and determined, in our sole judgment, that it meets the quality standards we require to be endorsed on our website. It does not mean that we inspect every job, guarantee any work, or that the Shop is licensed, bonded or insured beyond what you represent to us. We may change our standards and review process at any time. Approval is at our discretion, and we may decline any application.

3. Sponsorship Fee and Billing

The sponsorship fee is $89.99 per month, billed in advance. By signing up you authorize us to charge your payment method every month until you cancel. Your listing goes live after approval and successful payment. The fee is for display and promotion in the directory, and it is not a payment for the certification decision itself, which we make independently. We may change the fee on 30 days written notice, and you may cancel before the change takes effect. If a payment fails, we may suspend or remove your listing until the balance is paid. Applicable taxes, if any, are your responsibility.

4. Cancellation

You may cancel at any time by emailing submissions@exhaustaddict.com from the address on your account, or through any online cancellation method we provide. Cancellation takes effect at the end of the monthly period you have already paid for, and your listing will remain active until then. We do not refund partial months, except as stated in Section 5.

5. Removal and Suspension

We may suspend or remove your Shop at any time, with or without notice, if we reasonably believe that: your Shop no longer meets our quality standards; you provided inaccurate or misleading information; we receive credible complaints about your work or business practices; you lose a required license or permit; you harm our reputation; or you violate these Terms or any law. If we remove your Shop for reasons other than your breach of these Terms, we will refund the unused portion of your current monthly fee.

6. Your Responsibilities

You represent and agree that: (a) all information you give us is accurate and kept up to date, including address, phone number and hours; (b) you hold all licenses, permits and insurance required to operate your Shop and perform your services; (c) your work and services comply with all applicable laws, including emissions and environmental regulations; (d) you have the right to give us any logos, photos and text you submit; and (e) you will treat customers who find you through the directory fairly and professionally. You must tell us promptly of any change that affects your certification, such as a license problem, a change of ownership or a change of location.

7. Permission to Use Your Content

You grant Exhaust Addicts a non-exclusive, royalty-free license to use your business name, logo, photos, descriptions and other submitted content to display your listing and to promote the directory on our website, social media, videos and advertising. This license ends when your listing ends, except for content already published that cannot reasonably be removed, such as past social media posts. You may use the "Exhaust Addicts Certified" name or badge only while your sponsorship is active and only in the way we approve.

8. No Guarantee of Results

We do not guarantee any number of visitors, leads, customers or sales. Search results and listing order depend on the visitor's search, location, distance and other factors, and we may feature some shops more prominently. Promotion on social media and other channels is at our discretion.

9. Independent Businesses

Your Shop is an independent business. Nothing in these Terms creates a partnership, joint venture, franchise, employment or agency relationship. You are solely responsible for your services, prices, estimates, warranties, advertising claims, employees and any dispute with your customers. We are not a party to any transaction between you and a customer, and we are not responsible for your work.

10. Disclaimer of Warranties

The directory and our services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted or error-free operation, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Exhaust Addicts will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business, arising out of or related to these Terms or the directory. Our total liability to you for any claim will not exceed the sponsorship fees you paid us in the three (3) months before the claim arose.

12. Indemnification

You agree to defend, indemnify and hold harmless Exhaust Addicts and its owners, employees and contractors from any claim, loss, liability or expense (including reasonable attorneys' fees) arising out of your services, your Shop's work or advice, your content, your breach of these Terms, or your violation of any law or third party right.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law rules. Any dispute arising from these Terms will be brought in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will post the new version on this page with a new effective date and, where the change is material, notify you by email. If you continue your sponsorship after the effective date, you accept the updated Terms. If you do not accept them, you may cancel under Section 4.

15. General

These Terms are the entire agreement between you and us about the sponsorship and replace any earlier discussions. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms without our written consent.
